Alphameric Plc (“Alphameric” or “the Group”) PROPOSED DISPOSAL OF THE RETAIL BUSINESS

Summary of key points

The Board has conducted a comprehensive review of the opportunities for superior revenue and profit growth in each of the Group’s areas of activity

As a consequence the Board has decided to focus on the continued development of Alphameric’s leading market positions in the Leisure and Hospitality sectors

The Group today announces the proposed disposal of its Retail Business for total maximum consideration of £30 million to Torex, subject to Shareholder approval

Consideration comprises Initial Consideration of £15 million, made up of a cash payment of £10 million and the issue of Torex Ordinary Shares to the value of £5 million (being 7,371,370 shares at 68.73p per share) and Deferred Consideration of up to £15 million dependent on the financial performance of the Retail Business for the 14 months ending 31 December 2005
