or “the Group”) PROPOSED
DISPOSAL OF THE RETAIL BUSINESS
Information on the Retail Business
The Retail
Business, which is based in the UK,
supplies and provides end-to-end solutions
including software, hardware and maintenance
to non-food retailers. The Retail
Business has products spanning both
the front and back office including
in-store, merchandising, business
intelligence, planning and finance
applications.
Its expertise
is based on an in-depth understanding
of the retail industry and focus on
retail enterprise and retail intelligence
solutions. Within the retail enterprise
area, the Retail Business offers both
head office and EPoS systems. It also
includes merchandising, visualisation
and product design solutions. For
retail intelligence, the Retail Business
provides a complete range of software
solutions to support decision-making,
including comprehensive analysis,
planning and forecasting.
Compass
was acquired by the Alphameric Group
with effect from August 2003. Its
results have been reported as part
of the Retail Business, as “owned”
and prior to the acquisition, as “pre-acquisition”
revenues and profits/losses. The Retail
Business, accounted for revenues in
the year ended 30 November 2003 for
the owned business of £31.5
million with pre-acquisition revenues
of £2.0 million (2002: owned
business: £30.8 million with
pre-acquisition: £5.0 million)
and an operating loss for the owned
business of £0.4 million with
pre-acquisition operating loss of
£1.7 million (2002: owned business
operating profit: £2.7 million
with pre-acquisition operating profit:
£0.8 million). As at 31 May
2004, the net assets of the Retail
Business were £11.8 million.
